Wake Business Development Terms of Service

Welcome to Wake Business Development. These terms and conditions ("Terms") govern your use of the services offered by Wake Business Development ("Wake," "we," "us," or "our") at the website located at wakemedia.dev (the "Site") and any associated mobile applications (collectively, the "Services"). These Terms constitute a legally binding agreement between you and Wake. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. Suppose you are using the Services on behalf of an organization. In that case, you represent and warrant that you have the authority to bind the organization to these Terms, and the terms "you" and "your" will refer to the organization. If you do not have such authority, or if you do not agree with these Terms, you may not access or use the Services.

2. DESCRIPTION OF SERVICES The Services provided by Wake may include but are not limited to, providing and maintaining a platform for business development resources, information, and networking opportunities.

3. USER REGISTRATION To access and use certain features of the Services, you may be required to register for an account with Wake (an "Account"). By creating an Account, you represent and warrant that all information you provide to Wake is true, accurate, and complete. You agree to keep your Account information up-to-date at all times.

4. LICENSE AND ACCESS Subject to your compliance with these Terms, Wake grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal or internal business purposes.

5. USER CONTENT You are solely responsible for all content and information you submit, post, display, or otherwise make available through the Services (collectively, "User Content"). You agree that User Content will not: Violate any laws or regulations; Infringe any third party's intellectual property rights; Be false, misleading, or deceptive; Be harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; Contain viruses, worms, or other harmful components; or Be used for any unauthorized or illegal purpose. Wake reserves the right, but has no obligation, to monitor, review, or remove any User Content in its sole discretion, without notice or liability to you. 6. INTELLECTUAL PROPERTY RIGHTS The Services, including but not limited to the Site, mobile applications, software, design, graphics, text, audio, video, and other files, and their selection and arrangement (collectively, the "Wake Content"), are owned by Wake or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7. FEES AND PAYMENT Wake may charge fees for specific features or services. You agree to pay all fees and charges by the payment terms specified by Wake. Unless otherwise stated, all fees are non-refundable.
8. DISCLAIMER OF WARRANTIES The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Wake disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Wake does not warrant the Services being error-free, uninterrupted, secure, or free from viruses or other harmful components.
9. LIMITATION OF LIABILITY To the fullest extent permitted by applicable law, Wake will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services or these Terms, whether based on warranty, contract, tort (including negligence), or any other legal theory.

10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Wake and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

11. GOVERNING LAW AND DISPUTE RESOLUTION These Terms and your use of the Services will be governed by the laws of the state of Florida without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms will be resolved exclusively by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Miami-Dade County, Florida, and the arbitrator's decision will be final and binding on the parties.

12. MISCELLANEOUS These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wake with respect to the Services and supersede all prior or contemporaneous agreements, representations, and understandings, whether oral or written. Wake may assign or transfer these Terms or any of its rights or obligations under these Terms without your consent. You may not assign or transfer these Terms or any of your rights or obligations under these Terms without Wake's prior written consent. If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

ADDITIONAL TERMS In addition to the above Terms, the following additional terms apply to your use of the Services: Work Created by Wake: All work created by Wake, including but not limited to content, graphics, and software, remains the property of Wake until the project is completed and the user has paid all applicable fees. Once the project is completed and all applicable fees have been paid, ownership of the work created by Wake will be transferred to the user. Cancellation of Contracts: Wake reserves the right to cancel contracts at its discretion. If a contract is canceled, Wake will provide notice of cancellation to the user and provide a refund of any fees paid by the user for services that were not provided. Changes to Terms: Wake reserves the right to modify these Terms at any time without prior notice. Your continued use of the Services after any changes to the Terms will constitute your acceptance of such changes.
